This is a legal agreement between you (an individual or an organization) and Software 
Metrics Inc, a division of Equitrac. By installing this software, you accept and agree to 
be bound by the terms and conditions of this agreement. If you do not agree with the 
terms, return the software CD and the accompanying materials within 30 days of pur-
chase for a full refund.

For purposes of this license agreement, “Software” refers to any and all executable files 
and any other files that accompany this version of the product. “Documentation” refers 
to the accompanying materials in written or electronic format.

Software Metrics Inc. grants you the following rights with respect to the Software: you 
may install the enclosed Software on a single machine per licensed component; you 
may run the administrative utilities and network client utilities that do not require a 
license on an unlimited number of machines on your network.

The license card included with this package is your proof of license to exercise the 
rights granted herein and must be retained by you.

The Software is owned by Software Metrics Inc. and is protected by copyright laws 
and international treaty provisions. Therefore, you must treat the Software like any 
other copyrighted material except that you may make one copy of the Software solely 
for backup or archival purposes as long as you otherwise comply with the terms and 
conditions of this license agreement. You may not copy the Documentation accompa-
nying the Software.

You may not rent or lease the Software. You may, however, transfer your rights under 
this license agreement on a permanent basis provided you transfer this agreement, all 
copies of the Software, all Documentation and retain no copies, and the recipient 
agrees to the terms of this agreement. Any transfer of the Software must include the 
most recent update and all prior versions.

You may not modify, adapt, translate, reverse-code, decompile or disassemble the Soft-
ware, or make any attempt to discover the Software’s source code.

The Software and Documentation are provided with restricted rights.  Use, duplication, 
or disclosure by the Government

 

is subject to restrictions under (c)(1)(ii) of The Rights 

in Technical Data and Computer Software clause DFARS 252.227-7013 or subpara-
graphs (c)(1) and (2) of the Commercial Computer Software--Restricted Rights at 48 
CFR 52.227-19, as applicable.  Manufacturer is Software Metrics Inc., 450 Phillip Street, 
Waterloo, Ontario N2L 5J2, Canada.

Software Metrics Inc. warrants that the Software will perform substantially according to 
the accompanying Documentation for thirty (30) days from the date of receipt. Soft-
ware Metrics Inc. does not warrant that the operation of the Software will be com-
pletely error free or appear precisely as described in the Documentation.

SOFTWARE METRICS INC. DISCLAIMS ALL OTHER WARRANTIES OR CONDITIONS, 
EXPRESS OR IMPLIED INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF 
MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE WITH RESPECT 
TO THE SOFTWARE AND ITS ACCOMPANYING DOCUMENTATION. Some jurisdic-
tions do not allow limitations on duration of an implied warranty, so the above limita-
tion may not apply to you, and you may have other legal rights that vary by 
jurisdiction.

Software Metrics Inc.’s entire liability and your exclusive remedy shall be, at Software 
Metrics Inc.’s option, either (1) return of the price paid, or (2) repair or replacement of 
the Software that does not meet Software Metrics Inc.’s limited warranty and which is 
returned to Software Metrics Inc. with proof of purchase within thirty (30) days from 
the date of purchase. This limited warranty is void if failure of the Software resulted 
from accident, abuse, or misapplication. Any replacement of the Software will be war-
ranted for the remainder of the original warranty period or fifteen (15) days, which-
ever is longer.

IN NO EVENT WILL SOFTWARE METRICS INC. BE LIABLE FOR ANY DAMAGES 
WHATSOEVER (INCLUDING WITHOUT LIMITATION, DIRECT, INDIRECT, INCIDEN-
TAL, SPECIAL OR CONSEQUENTIAL DAMAGES, INCLUDING WITHOUT LIMITATION, 
DAMAGES FOR LOST PROFITS, LOST SAVINGS, BUSINESS INTERRUPTION, OR 
OTHER PECUNIARY LOSS) ARISING OUT OF THE USE OR INABILITY TO USE THE 
SOFTWARE OR DOCUMENTATION, EVEN IF SOFTWARE METRICS INC. HAS BEEN 
ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. Some jurisdictions do not allow 
the exclusion or limitation of liability for consequential or incidental damages, so this 
limitation may not apply to you.

This license is in effect until terminated. You may terminate it at any time by destroy-
ing the Software and all copies you have made. The license will also terminate if you 
fail to comply with any term or condition of this agreement. Upon such termination, 
you agree to destroy the Software and all copies you have made.

This Agreement represents the entire agreement concerning this license between Soft-
ware Metrics Inc. and you. This Agreement supersedes any other agreements or dis-
cussions, oral or written, and may be amended only by written agreement. This 
Agreement is governed by and construed in accordance with the laws of the Province 
of Ontario, Canada, excluding its conflict of laws, rules and the United Nations Con-
vention on Contracts for the International Sale of Goods.
